It looks like the file UPGR3260.DLL is part of RealJukebox by RealPlayer. I am assuming that the TSystray is your system tray. RealJukebox (as are all REAL products) default is to load in the system tray on startup. You might try disabling the program from running either by msconfig or by opening the program if you can and disabling the startcenter.
