When you press F8 to get the Safe Mode menu, is there another line that reads "Disable automatic restart on system failure" ? If so, you can use this to stop the automatic reboots and give us a STOP error number which will point to the problem at hand. If not (this extra line was added in SP2 and you probably don't have it on that pc), can you boot from a Windows XP setup cd and run the repair console ? If so, you could try running chkdsk to fix any file system errors which may be causing the errors.
