Sharing the IRQ is the problem. Remove the modem from device manager, reboot, get into your BIOS, and look for an option that says "PnP OS Installed", and set it to No or Disable. Reboot again, and reinstall the modem.

That'll force Windows to give each device its own IRQ, instead of sharing the modem IRQ out (which by the way is gonna kill it's performance anyways since it's a winmodem).

Should solve the problem.
