the HD MIGHT be too big for the BIOS to fully recognize...How big was your old one? Usually if you old one is a decent size the BIOS will allow for a decent upgrade, but if you had one of those 8 or 9gig HD's, you might not be so lucky.
What OS are you running, if its Windows 95/98SE, your gooing to have to do a vcache trick in order to get your system to fully recognize the RAM.
As long as your motherboard has an AGP slot, I dont think you will have any trouble with the 5200
