for quiet and overclocking i'd also consider the Zalman 7000 AlCu, however IMO the best would be thermalright XP-120- make sure it fits first though.

also, note the panaflos at newegg are MIAs (medium), not the quieter LIAs (low). vantec stealths are definately not as quiet as LIAs.

also make sure u get a motherboard which supports Cool'n'Quiet, as it will turn down the fans when not needed at full power. the a64 HSF isn't too bad, but if you are going to be spending the sort of money to get a 3500+, then you probably wont mind spending a little more to get a better option.

if money isn't too tight then consider watercooling.
