two 4400+ X2 processors, both are socket 939. dont get the diff! one says (89w) and is cheaper....lol!

Exactly. The 89 watt versions are the later iterations in the series. They run at 89 watts vs. 110 watts. They are (apparently) cheaper to manufacture and sell for less. Other than wattage, they are the same processor.

If Im not mistaken there is also a difference in the L1 Cache of each of these chips and also the operating temperatures.
However, there is not mention of that in the listing :S

the l1 cache in the listing says its the exact same :( is there any performance difference whatsoever?

No differece in the performance..it is effectively the same CPU!
