Asus p5k motherboard
Intell processo, E6850 and Q6600 are at about the same price i think

If you are going with a dual core, E6750.
If you are going with a quad core, Q6600.
The ASUS P5K would be a nice choice as would a Gigabyte P35 board.

The only thing I'm a little iffy is, I use ASUS and I heard ABIT is good, but GIGBYTE I never heard of them.. Any suggestions or comments?

We generally consider Asus to be the top quality manufacturer. I'd use them over Gigabyte. But Gigabyte boards are still ok if that board is a better value in terms of features/dollar for you then a P5K.

Yea I'm looking for spend for 150 at most. Preferably a ASUS motherboard. With a high FBS, and no integrated Audio ( my friend said so )... any ideas?
for the most part, most of them have on-board audio

You could get the Asus P5K (http://www.newegg.com/Product/Product.aspx?Item=N82E16813131180) which supports processors with 1333MHz FSB. (e.g. The E6750)
Also most motherboards come with onboard sound, and if I were you I would try the board using the onboard sound first to see how you like it, and if it really isn't good enough then you can buy a separate sound card for your machine.
