Partition Magic is one of the best ways! Also if you hve XP pro I think if you go to administrative tools their might be an option there!

Thanks, HammerHead, but my Partition Magic 7 can't convert
it to Fat32 it flashes error message. I also looked in the
Administrative Tools I can't see any Option there to convert
it to FAT32. Anybody got another suggestions? Thanks.

I think I remember reading in the WinXP setup guide that you can convert from FAT32 to NTFS, but not from NTFS to FAT32. If that is truly the case then you'll have to start over and begin with a FAT32 file system.
First off - Why wouldn't you not be able to see the files in the DRIVE C:\where Windows 98 is residing - as Windows 98 can't be on a NTFS partition ? WinXP as well Win2K are capable of reading FAT32 without problem - I think your problem is somewhere else here - !Or do I misread your post?

Anyway use Partititon Magic 6.0 For DOS and palce it on a bootable Floppy boot the computer with it and then change from NTFS to FAT32 - no problems there..

Hpro is correct. I have seen this question posted a number of times. Partition Magic WILL do the trick. Double checked the manual to be sure.
