I've hit this one before but I can't remember the solution! I'm trying to load w98se. I'm building a new system which is pretty basic:
Shuttle AK32 board
XP2000+ cpu
256 K PC2100 mem
+ other stuff that doesn't seem revelent to this problem
Using a w98 startup disk with cd support. After D:setup and scandisk runs, it tells me that it can't proceed because of a problem with memory allocation and that I should use a later edition of himem. What, oh what am I doing wrong???

Have you tried setting the CD as first boot device in BIOS and booting to the W98 installation CD instead of the start up disk?

affter you formated the drive did you system it by typing sys c:
at the a: if you did format it aggen and dont system it all so if you have a 98se cd then you nead a 98se boot disk

I second formatting without the /s switch, it prevents the annoying message that a previous OS already exists, etc. etc. etc.

However, if the BIOS supports CD boot, then the W98 SE will boot and a setup floppy is not required. Your options will be, install W98, start computer with CD support or start without CD support. Choose, install W98.

Thanks folks, I solved the problem without knowing exactly what was going on!? I reset the bios to defaults and it came right up and loaded without a glitch. What can you do in bios to mess up himem? My guess is that the error message has little to do with the actual problem.
