Mobo and CPU replacement

Long story short is that my parents' house had an electrical problem that screwed up their old Compaq that they had bought about 3 years ago. It looks like the mobo will have to be replaced, and since it's an old AMD socket 754 (Sempron 64 2800+ I think) I figured it was a good opportunity to make a few upgrades. New to computer builds, so I wanted to run the parts that I was looking at by a few of you guys and make sure it would work. I was looking at the following things on newegg:

Will the Motherboard that you have selected fit into the Compaq case?
Will the old Power Supply be compatable with the new Motherboard and will it meet the powewr reqirements of the new hardware?

First off, pick either AGP or PCI-E...those dual boards aren't that great, especially considering it's a ULi chipset, and the slots themselves may not be standard.

XMS RAM is a bit overboard, it's not needed unless they want to do serious overclocking.

As not important said, the motherboard probably isn't going to fit into the case (at least not without some work). You might look at some Antec cases...some come with quality Antec power supplies.

That CPU seems a bit overboard...unless your parents are big gamers.
