new rig help

im going for a nice budget system to use mainly for daily internet use & for gaming when i get the chance, current system lacks the speed(950mhz duron) was hoping to get main parts i need for under 300. new case, mobo, processor, and ram. i will reuse my current seagate 40gig hd until i get new one(prolly soon this one seems to be limping on its last leg) and my 64mb video card(will upgrade l8r), and cd burner from current pc. here is what i found and hoped they would all work together.

or would this barebone system be better http://3btech.net/bacoso478ce1.html after upgrading the ram & maybe proccesor would be about same in price with shipping upgrading to 512mb ram.
any input on other things that might not work together and things to switch for others would be a great help. around 300 is my limit for this stuff, i know it wont be top of the line, but maybe around middle, since this one is so far behind its all an upgrade from this point.

Be leery of the Power Supplies in either of those cases. They are not high quality units.

i also found an alternate from newegg.com with an amd sempron i think it was 64bit or whatever their new thing was, was around 120 for the processor and around 50-60 i think close to 1.8 or higher in speed. would a new model of amd like that sempron be better then a celeron?
