Will these parts work ok together

That list looks good. Make sure you get a decent PSU, however. That's the most important part of the PC.

More important than the wattage is the brand. See this thread. It also has a calculator for power consumption.

What are you going to be using this rig for?

You could get some Value Select RAM if it's available...the XMS is probably overkill.

Gaming, video encoding, downloading but i say its worth it.lol. I'm not to worried about the cost.
