First time build Need Help With BIOS

This is what I have:

Antec 430 Watts Output (Neo HE)
ECS 945P-A motherboard
Pentium D 950
300gb 16mb SATA HD
DDR2 2GB PC5400 Dual OCZ (ocz thechnology)
GeForce 7600 GT OC
DVD/CD writer Pioneer DVR710

Okey this is what happens when I turn on the cpu I get this:

Speed: 3.41ghz

Press F11 For BBS POPUP

Over-clocking Failed!!!
Press F1 to Run SETUP

Okey I can't get my windows CD to run it brings me back to this screen.....
I tryed the clear CMOS and same thing
I also change the boot order to put the cd first but it wont save i will put save and exit and wen i check is the same thing
any Ideas??
Could it be my memory??

Besides the keyboard, mouse and monitor what else have you got plugged into the machine?
Have you attempted to overclock this machine?

Thats all I have plug in is the monitor, keyboard & mouse.
No I haven't Try or want to try to Overclock the cpu....
The only thing is that i been trying to intall Windows XP pro
Also, let me add when I turn off and unplog and turn back on the OverClocking Faild DISAPIRS but the CMOS Checksum Bad 0085 still there

Take your memory down to just one stick, use a standard PS2 mouse and keyboard not USB and read your motherboard manual very carefully and check all the settings and jumpers, according to you BIOS report you are attempting to overclock and it has failed, you may have a jumper set wrong.

ECS boards are usually considered low end, it is possible that you recieved one with a bad BIOS/CMOS battery, that is why the BIOS/CMOS settings will not save your changes and reverts back to default.

If the battery is dead you can either replace it or return/exchange the motherboard. I would recommend you exchange it to a quality brand like ASUS.

But I could be wrong and I suggest you also do what rjfvillarosa suggested.

go into the bios and load the default setup. and as the others have suggested take a look at the cmos battery.

Your bios needs updating to support a Pentium D 9xx processor. The 945 chipset did not support it when it was released because it didn't exist.

The ECS site was down when I posted my first reply - now that I've looked, there are different hardware revisions of the 945P-A board. Make SURE you get the correct bios.

with all the board revisions how can he be sure to get the right one? I wonder if ECS provides software to update the BIOS?
Ok I looked again and it says how to verify pcb revision.
