I am new to PC assembly.. PLEASE HELP

I am planning to purchase a new PC. Here is my draft PC spec:
GeForce 8800 GTS/GTX 512/768MB DDR3
Intel 2 Quad Core Q6600
4GB DDR2800 RAM
ASUS Maximus Formula Intel X38
Is above spec Any good? Any idea to improve it?
I am planning to do some serious overclocking, do I need to purchase any seperated cooling system? If so, what kind of cooling system and power supply would I need?

What are you using this for? Gaming?

If you can wait another month, mid march for the new 9800 cards to come up, then wait. If not, get the 8800GT. Not much performance difference between the GTS/GTX to justify the price.

Do you really need 4 gb of ram? If you do, you need a 64 bit OS. If not corsair xms2 ddr2-800 is a good set of ram.

Nice motherboard for future upgrades. If you want to save some money, go for asus p5k. Good for overclocking as well.

If you do plan on doing "serious overclocking", make sure replace the stock heatsink and fan. Make sure you have a good case with good airflow.

A corsair 620 W powersupply would be good.

I would suggest getting a 45nm Intel if you want to really overclock your CPU. The E8400s are out of stock pretty much everywhere, but are amazing overclockers. Otherwise you could wait for the 45nm Quads, I just wouldn't get a 65nm (Q6600) Intel with the 45nm Intels out.

If you plan to overclock a lot you will probably want to look at ddr2-1066 rather than 800.

Make sure you get a good PSU, the 620w corsair suggested by dave is good, other brands to look at would be OCZ, PC Power & Cooling, FSP Group, and Sparkle to name a few.

For the CPU cooler, assuming you have ample room in your case, some popular choices are the Ultra-120, the cheaper Arctic Cooling Freezer 7 Pro, the Thermaltake Big Typhoon, and the Zalman CNPS9700/CNPS9500.
