Beeps and Turns Off

I'm a first time builder and followed PCMechs process on Building Your Own PC, so everything is in the case. Last night I switched it own for the first time, lights and fans run, DVD player opens and closes, floppy drive light comes on, it beeps a few times (I have to count them tonight), then turns itself off. It stays on about 10 seconds. There are no error messages on my monitor. Here is my list of components, all are brand new right out of the bag:

- Intel Core 2 Duo E6850 Processor HH80557PJ0804MGS
- Intel 975XBX2KR Motherboard - Intel 975X, Socket 775, ATX,
- OCZ Vista Gold Edition Dual Channel 4096MB PC6400 DDR2 800MHz Memory (2 x 2048MB), TOTAL OF 4 CARDS FOR MB OF MEMORY.
- Ultra ULT40109 8-Port USB 2.0/Firewire Combo PCI Card
- Ultra m998 ULT40069 Mid-Tower ATX Case
- OCZ / GameXStream / 700-Watt / ATX / 120mm Fan / SATA Ready / SLI Ready / EPS / Active PFC / Power Supply
- Cooler Master Hyper TX2 CPU Cooling Fan - Socket 775, AM2, 939
- EVGA 512-P3-N801-AR GeForce 8800GT 512MB 256-bit GDDR3 PCI Express 2.0 x16 HDCP Ready SLI Supported Video Card
- SONY Black 1.44MB 3.5" Internal Floppy Drive Windows 98SE/ ME/ 2000/ XP

Follow these troubleshooting instructions for the out-of-case troubleshooter. You must remove the motherboard from the case when doing this. You're trying to determine if the motherboard is shorting out to the case somewhere.

The LGA775 heatsink isn't easy to install correctly and it sounds like yours isn't making good contact with the processor...sounds like the processor is overheating and the system is shutting down as a safety measure. Here's a illustrated LGA775 heatsink installation tutorial.

Your motherboard does not support your CPU, the E6850 uses a 1333MHz FSB but your motherboard only supports 1066MHz.
