New PC restarting on boot...Help!

Hey this is my first post here, hope this is the right place!

Just put my new PC together, and when I plug everything in and switch it on, it boots up to the very first page you see " for Bios etc", then reboots and is on a continuous cycle. I'm really at a loss to what the problem is, and have tested it with both an Nvidia and an ATi Graphics card.

PC specs are -

Motherboard - Gigabyte EP43-DS3L
CPU - Intel Core Duo E8200 "Wolfdale" (2.66Ghz)
GFX - Ati HIS Radeon HD 4850
RAM - 2GB Kingston
PSU - Corsair 620W

The PSU was taken from my old PC where it worked perfectly, and everything else is new .

I tried it with just the CPU and GFX plugged into the Mobo and the same thing happened. Also tested with an Nvidia 7800GT to see if it was the graphics problem but nope same thing .

Is the motherboard in or out of the case right now? It should be out for troubleshooting.

Did you try it with just 1 stick of RAM?

Yeah I took the motherboard out the case to test it.

Unfortunately the only RAM I have is 1 stick of 2GB, do you think it may be at fault? I tried it without the RAM in and it booted up then almost immediately shut down again, I'm presuming that's because there was no RAM in it.

Are all 4 pins of the heatsink fully installed?

Do you have both the 24 pin, and 4 pin power plugged in?

No, it shouldn't shutdown if no RAM is installed...normally you would get a BIOS beep code referring to a memory problem.

The rebooting tells me it's not a overheating problem, if it was overheating it would just shutdown and stay off.

I think you have a defective motherboard on your hands.
