Is it as simple as taking out the old one, and putting in the new one?
Or do I have to clean anything or something?
Thanks a lot for your help again

BTW I just built the computer about a month ago, so its fairly new. Its an Intel Core 2 Duo 3.0GHZ, and I was using the stock cooler. I'm getting an Arctic Cooling Alpine 7 Pro for Socket 775 .

Remove the motherboard from the case when replacing the HSF (heatsink/fan)...it'll make things go much easier.

When replacing an existing HSF with a new one you should always clean off the old thermal compound/pad completely and apply fresh thermal compound.

When installing the new heatsink just follow the instructions that came with it.

To remove the LGA775 heatsink just turn the 4 pins so that the arrow faces towards the heatsink and then lift the pins up. See this web page...it shows you how to install the LGA775 HSF but you can just do the reverse to remove it.

Clean off the old thermal paste, and use some new paste before installing the new heatsink.

If your new heatsink has a thermal pad already attached to it then you don't need thermal compound.
