Building First PC need advice!

Tower:
ATX Cobra Computer Case w/ATX 80 mm fan,cathode light red light kit

Motherboard: GIGABYTE GA-P35-DS3R 97.99

HARD DRIVE:Seagate ST3640323AS 640GB 7200 RPM 32MB Cache SATA 3.0Gb/s 3.5" 69.99

Drive's: Pioneer 20X CD/DVD Burner Black SATA Model DVR-217DBK
24.99

RAM: A-DATA 4GB (2 x 2GB) ADQVE1B16K
45.99

Graphics Card: GeForce 9600 GT 512MB 256-bit GDDR3 PCI Express 2.0 x16 HDCP SLI 92.00

Does this seem like a good setup. i only have about 600 to spend.

Well.
Nothing that you build is going to run or even last long with that $20.00 POWER SUPPLY.
Your power supply is EVERYTHING. I prefer PC POWER & COOLING but if case space factors in there CORSAIR has some equally good units that don't take up as much room.
P35s are getting dated and you can get a late model P45 for just a few dollars more.
ASUS P5Q PRO is only 115 bucks with free shipping and it gets a lot of praise around here.
Go with WESTERN DIGITAL BLACK hard drives. A few of the SEAGATE models have had some issues and failures lately so it's better to be safe than sorry.
E 7400 is a good CPU. I've tried one. Good little overclocker if you are into that.
CORSAIR recommends DHX 6400C4 for a 2x2GB kit for that board. CORSAIR works well on them. GeIL and G.SKILL also do very well.
I guess the video card is OK -depends on what you will be doing with the system. I'm not the world's leading authority on nVidia video cards. ATI-wise for an overall great video card that you can afford, the HD3870 is a very good one. Some of the 4870s are becoming more affordable but then again, that will all go back to the power supply. You have to have a solid power supply to run those video cards.
There's some food for thought.
What about budget?
How much can you afford to spend on your new system?

The Video card, motherboard and power supply I recommended are much better than what you have listed. Seasonic is about as good as you can get in a power supply which is very important.

Thank you guys very much, i am trying to learn about all the aspects of this little project and with your help, im saving even more money and getting better stuff, I thank you both for your help. IF there is anything else i should change or check for let me know.

Don't see an OS listed. If going Vista, get at least Vista Premium, Basic is pretty trimmed up.
Also, don't connect the card reader until after the OS is loaded. XP and possibly Vista assigns drive letters to the card reader before the HDs.

That was gonna be my next question.

I was planning on running XP, which I have a cd for, or getting a xp 64 bit from a alternative source . I hate vista, it's to big and a compatibility nightmare, but i wanted to make sure a 64 bit xp would run with all theses components

also here is the ATX case i would be getting with a fan and red lighting kit

XP 64 has some pretty nasty driver and compatibility issues. I'd recommend 32 bit XP if you prefer XP.

but won't i be wasting a 1gb of ram if using a 32 bit XP ???? i guess i could always just use my windows 7 64bit

Way too much fuss is made over operating system limitations when it comes to RAM. The motherboard won't care if you have 4 gigs. If it can run 4 gigs then it will run 4 gigs and the operating system will use as much of it as it can.
