Motherboard Choice

I may be looking for a motherboard replacement to use with my well-cooled C2D E6600 Conroe and Corsair XMX2-800 RAM. My full PC specs are here. A few options I'm considering:

ASUS P5Q LGA 775 Intel P45

ASUS P5Q-E LGA 775 Intel P45

Not sure if I'll overclock or not. A few questions:
1.Is my Corsair memory compatible with these boards?
2. Is it worth stepping up to DDR3 RAM?
3. Any other motherboards worth looking at?

1. Yes
2. Nope
3. Asus X48 motherboards but you are not really going to see much difference for the price.

Go with the P5Q instead of the P5Q-E unless you plan on going with 2 Video cards.
