Tries to start, then shuts off

This is a rebuild following damage from a lightning strike.
New Gigabyte GA-EP45-UD3R MB, new Antec TP-550 PS, new E8500 processor w/Artic Freezer 7 cooler, original ATI 3870 GPU (Local shop says it was OK). I'm using the Apevia Telstar case, Win XP Home and 2 hard drives and 2 optical drives that the shop says are ok.

On power up, the power light comes on, the case and cpu fans come on and the optical drive lights come on one after the other, then the whole system shuts down. After about 30 seconds, it tries to restart, but again shuts itself down. The monitor never shows anything and the indicator light never turns from amber to green.

I'm going to try swapping the video card, but I'm open to any suggestions of anything else to try.

Exactly right - I pulled one of the modules and it started right up. I'll replace both modules with a matched set later today.

This leads me to another question - the system started to load Win XP, but tells me I have to re-register. Once I do theat, should I just let it start XP as it is on the hard drive (the board replaced was also a Gigabyte, but a P35 chipset and the former cpu was a E6750)?

Or should I start XP with the original system disk and do some sort of repair?

If it will actually get into Windows, there will be no need to do a repair or reinstall - just update all the drivers. If it bluescreens with a INACCESSIBLE_BOOT_DEVICE, then you will need to do a repair reinstall.
