I would suggest an Asus P5Q series board. Better quailty. Unless your putting in a monster video card, could drop the PSU to 500-550w range.
Would go with the 64bit and unless you need the extra networking controls of Pro, Home Premium should do you fine. Check here for comparisions of versions: http://hefetz.net/?p=120

Oh I forgot, I have a new 450 watt Corsair powersupply coming, would that be big enough?

I would rather use a 500 watt, but the 450 should do the job.
