Gamer in an HTPC case?

I think I want to build a gamer pc and stuff it into my HTPC case. I also want to be able to use this as a media center for watching movies, playing tunes etc. Here's what I'm thinking. I would also entertain an Intel build:

-I have a Silverstone LC16 case already: SilverStone Technology Co., Ltd - Designing Inspiration.
-I have a new Corsair 750watt power supply already: Newegg.ca - CORSAIR CMPSU-750TX 750W ATX12V / EPS12V SLI Ready CrossFire Ready 80 PLUS Certified Active PFC Compatible with Core i7 Power Supply
-I have an Intel SSD for the boot drive already: Newegg.ca - Intel X25-V SSDSA2MP040G2R5 2.5" 40GB SATA II MLC Internal Solid State Drive (SSD)
-I have a DVD burner already.

Here's what I'm eyeing to purchase. I want to be able to overclock should the urge strike me. I also would like USB 3.0, Sata 6gb/s, optical out for good sound:
-Asus Crosshair IV motherboard: Newegg.ca - ASUS Crosshair IV Formula AM3 AMD 890FX SATA 6Gb/s USB 3.0 ATX AMD Motherboard

-AMD Phenom II X4 processor: Newegg.ca - AMD Phenom II X4 965 Black Edition Deneb 3.4GHz 4 x 512KB L2 Cache 6MB L3 Cache Socket AM3 125W Quad-Core Processor HDZ965FBGMBOX

-Patriot G Series ‘Sector 5’ Edition 8GB ram: Newegg.ca - Patriot G Series ‘Sector 5’ Edition 8GB (2 x 4GB) 240-Pin DDR3 SDRAM DDR3 1333 (PC3 10666) Desktop Memory Model PGV38G1333ELK
or CORSAIR XMS 4GB 240-Pin DDR3 SDRAM DDR3 1333: Newegg.ca - CORSAIR XMS 4GB 240-Pin DDR3 SDRAM DDR3 1333 Desktop Memory Model CMX4GX3M1A1333C9 (2 pcs)

-GTX 460 1gb video card: http://tinyurl.com/2aekbcp

- Windows 7 64-bit.

If I don't overclock, will cooling be an issue? If I do overclock I will need better cpu cooler right? I am having a bit of trouble figuring out what is suitable and will fit into my case?

Any insights or thoughts very welcomed!!

Would check to make sure that the video card will fit in that case. The card is listed at 202mm long, so would need at least 210 to 220mm of space between the back of the case and the drive bays.
