3rd build

My last build is too old to update, so I'm going to try this again.
I would like to spend less than $600, if possible. I don't do gaming. I would like to be able to do several tasks at the same time, like browse the internet while playing a music dvd, and having a full virus scan going on in the background at the same time. Not that I ever do that either, but would like to be able to, quickly and efficiently.
What I have is:
Monitor, mouse and keyboard, and OS (more on the OS below)
What I'm looking at is

Don't know if the wattage is high enough.

That puts me at roughly $560, but no RAM. If I go with the MB listed above the capacity is 16GB. I know very little about RAM. Would like suggestions on that.
Now for the OS. I've got Windows XP Pro w/SP2 Student Media 32-bit and Windows XP Pro x64 Edition that came with it. And I've got Windows 7 Home Premium Upgrade 32 and 64-bit disks.
I would like to end up with Win 7 64-bit so as to take advantage of this system. I know it's best to just start out with a full version of the OS. But I have these disks, and they are legal and paid for.
So if you fine folks would look this over and give me some advice, I'd appreciate it.

Close enough?

Without a video card, that PSU is fine.

There are sites out there that tell you how to install the upgrade version of Windows 7 on a fresh hard drive.

Thanks glc! If down the road I were to add a decent video card, about what wattage would I be looking at? Perhaps I should wait and see what card I get before asking that question. Thanks again

Unless you game, you wouldn't need a card that's too strong for that PSU.
