Getting an OEM processor

I was looking at processors for my first build and I was wondering if it would hurt to get OEM instead of retail. This is my first time putting a computer together, but, from what I can tell setting up the processor is just simply putting it in its slot correctly. So, should I get an OEM processor?

Edit**

Does the retail version come with a fan? Its the 3.2 ghz Pentium 4 w/ Northwood core that I'm looking at.

I would recommend you buy the retail, especially if you don't plan on overclocking. The retail comes with a heatsink and fan, and has a 3 year warranty.

Ok, yeah, the fan is really important. I'm probably not going to overclock, so I'll go with retail. Thanks.

Typically, folks buy an oem processor because they already have a stock fan from a previous processor or they plan to purchase a custom fan and heat sink assembly. The retail version comes with the fan and heat sink and is the recommended buy in order to obtain the best warranty for the processor (3 years)

With a Northwood... always go retail.. the stock cooler is a high quality unit and will last longer than the energizer bunny.
