So when did this start?
Is it just hanging or is it restarting?
When you 'end task', ctrl-alt-del, what shows up?
We need some more info here and you should read through this : http://aumha.org/win5/a/shtdwnxp.htm

Which means that something is hanging around.
What shows up in the window when you ctrl>alt>del and have you done a malware scan?

Here are several links to XP shutdown issues from MS. Most if not all of them are cured by running a fully updated XP install. Have you installed Service Pack 2 and all the current updates? If not, that's the first place to start after cleaning all the malware out of your pc. If the problem persists after updating, then read thru Pam's link and this link for a specific problem.
