Modem problem

I'm trying to install a USR fax modem in a Celeron 400 system. I get the message "Setup can not load the installer (modem.cpl) for the modem hardware being installed. Contact your hardware vendor for assistance". I get this message with any modem being installed. I have never seen this message before. Does anyone know what it means.

have you tried to extract it ( modem.cpl ) from the CAB files (Windows CD)?

The file is there (in the windows/system directory where it belongs) but it just won't load.

The only answers I can find anywhere are as follows:

1. Corrupt modem.cpl file - reextract.
2. Defective UART chip on the motherboard. Flash the bios, then replace motherboard if that doesn't work.
3. Corrupt control panel - reinstall Windows.

Is the USR internal? ISA or PCI? Hardware or Win? Is it external? Serial or USB? If serial, try the other port?

Previous modem, if any, completely uninstalled?
