You need at least two. One for the CPU heatsink and a exhaust fan on rear of case at the top. A intake on lower fron wouldn't hurt.

on any somewhat recent pc (from the 800mz + era ) i'd say yes, the cpu fan (very neccesary), rear case fan isnt bad.
Evertything is dependant on the system you are talking about. Ive worked on many late 468's and even early P1's that didnt have a cpu fan, some didnt even have cpu heatsinks in those days. malek, you should first give the system specs of the system you are talking about or the type of system, and if possible the temps its running now.

Out of curiosity...why won't you OC? At very least you could improve speeds by 5-10% without dire consequences...
