cpu temp and mb temp

hello..i have a p4 2.8c (not oc'ed) on an asus p4c800-dlx mobo...on asus probe it shows my cpu temp at 34c and my mb temp at 33c...should i be worried that my cpu and mb temp are that close together? the cpu temp used to be around 40c but i put some artic silver 5 today and the temp is slowly dropping from it that and probably bc my room is freezing right now..anyways any help would be appreciated thanks. also is my cpu running hot for a p4?

No it is not hot! My P4 runs around 46 to 52C on the CPU (depending on the load) and around 34 to 36C for the system temp. That's with about 74F ambient temperature.

i just oc'ed my cpu to appx 3.3-3.4 ghz and the temps are reading 38C idle hot or okay?

That temp is absolutely fine. You would only have to worry if the CPU temp went over 70C and even then, the P4 would automatically throttle the speed back to reduce heat anyway. You really can't fry a P4 unless you up the vcore voltage more than 5%.
