Can't see why it won't, you have AGP 8X, a good PSU, plently fast enough processor, and enough ram. You seem good to go, to me at least.

Doesn't look like a problem to me either. As long as you have a good power supply, which you do, it'll work.

Itll run as long as you have a good power supply and a 4x or 8x AGP slot. Hopefully you have a good processor because those things love cpu power, it is even bottlenecked by a 3.4Ghz P4.
