I have one comp with win98 2nd edition and I need my other one(win98) to have ICS, can I install ICS from my 2nd edition disk on my other comp, or do I need the upgrade disk?

No and no. ICS only works on SE. You can make your SE machine the server or upgrade the other machine to SE. Only the machine with the modem or other internet connection should have ICS installed (the "server" or the "gateway") - the "clients" can be any flavor of Win 9x and you do NOT want to install ICS on a client at any time.
You should get the internet connection up and operating *before* you install ICS on it and make the client setup disk. |

When you install ICS on Win98SE, you will be prompted to make the client disk. As Glc states, the "client computer" can be Win98 or Win95.
