Error Message 797 on Dial-up

I have built a new PC with a Win2000 O/S. The modem is Intel HaM Data Fax Voice V.90 and running netzero version Q1.2.
When I attemp to connect, I get the following message:
"Error 797 - Port in use by AOL or MSN or Earthlink....."
"In order to connect you must first disconnect and close other ISP software."
To my knowledge I do not have any of these ISP software running.

Sometimes when I reboot, I get the connection through but it takes too long a time log on and also it takes forever to open webpages. I'm running a Win200 O/S on an old pentium II (266 Mhz) and when I transfer the modem onto that PC, It works flawlessly and at much appreciable speed.

What can I do to solve this problem and to make the dail-up achive reasonable speed.

the following are the components on my PC:

MB: ASUS A7V8X-MX SE KM400/VT8235
CPU: AMD ATHLON XP 2500 BARTON
RAM: KINGMAX DDRAM 512MB DDR333 PC-2700
HD: 80GB WESTERN DIGITAL 7200RPM 8MB

It seems like I may be one of the few who is still in the dark ages of dial-up.
