Try out Musicmatch Jukebox Plus. It does a very good job of it.

I'll second MusicMatch if you are looking for other features as well. It's an excellent player, converts well, and has burning capabilities. I think you can download a trial version here:
http://www.musicmatch.com/home/ You may need to pay the $20 for the Plus version in order to rip MP3s at CD quality kbps, but it's worth it. HTH |

CDEX doesn't have any nags...at least not any version I've tried.
It's the simplest way to rip MP3's, and is free. Audiograbber: The free version is available at no cost, and can copy only half the tracks without restarting the program. The registered version costs $20 and has no such restrictions. itunes: MAC only dBPower AMP: free music converter, other bits are shareware. I only use it to convert MP3's to .wav for editing. Musicmatch: excellent program, however, CDEX will rip easier, and Nero will burn easier. |

Fact of the matter is, I do believe that Nero has a plugin that allows you to convert audio cd's to mp3's, but i may be wrong about that.

I use Exact Audio Copy for its ability to rip from even the most damaged CDs. It works well for me.
