think i got the meaning let said that the oem xp software comeing from frys will have frys name on it.

OEM software generally comes in just a paper sleeve with little, if any documentation. Software support generally comes from the vendor you purchased it from, not the manufacturer.

Regarding tech support, you won't get any from M$ if you buy OEM. They will tell you to go to the equipment vendor for it.

will oem xp software be any good or will it be the best to buy the reg xp for 199.00,i dont mind the exta 99.00 itf it will be better.

Its the same software, but if you want support for the OEM version, you contact the vendor.... if you want support from Microsoft, be prepared to give your credit card number and pay per incident... meaning if you phone with two problems, you get billed twice for the one phone call.
