Windows XP automatic reboot

Hello,
I finally got around fixing my pc with a new motherboard since my last on died from some reason. I was using a ASUS P4PE-BP and bought a new PHPS800 by ASUS. Everything seem to work fine until it tried to start Windows XP Pro. It would automatically reboot when trying to load windows. I tried safe mode and it still reboots, but it will reboot when trying to load windows/system32/drivers/agp4.sys. I figure if I can delete this driver I can get into windows. I was wondering will this work or would I have to do a complete format of my hard drive or can I just load the CD that came with my new mobo and maybe I can overwrite this driver?

I am using my hard drive that I was using with my old mobo.

I take it you activated your Xp with the previous M/B, that harddrive has all your old settings, reboot using your XP disc and choose repair to let XP detect your new M/B etc..
