If you have an old copy of Win 98 etc around then you can use that for the upgrade, all you do is boot to the XP CD and when it asks you for proof of an eariler operating system you put the Win 98, or Me, or whatever in there. If you do not have an eariler CD then you should return it for the OEM version of Home, or Pro.

I looked at their return policy and didn't see anything about returning opened software. You will probably have to email customer support to check to make sure what their current policy is. I know other places I've ordered from do not accept returns on software once it has been opened (because of matters of piracy).

If newegg won't let you exchange it for an OEM copy you can buy a 98 cd on e-bay or even get one from a friend or schoolmate.

Preferably 98. It's not a good idea to add on a massive update such as XP to buggy ol' ME.

You aren't going to be *installing* 98 or ME - you will simply be using the CD as proof of upgrade eligibility. Buy whatever you can find cheap.

Buy OEM. It's the same price or less than the upgrade and Newegg will sell it to you if you buy any piece of hardware - even a 99 cent cable.
