Old PC Upgrade

I have an old PC with a Celeron 450, 256 MB RAM, 20 GB hard drive... it currently has Windows 98 on it, how do you think Windows 2000 would run on this machine? Would an upgrade work or would I need to format and start from scratch? Thanks!!

That PC will run Windows 2K nicely, so I'd put 2K on it. Usually an upgrade works, but a clean install is always the better method.
