Check out this site, I have used it to walk me through a 98 install.

In order to install an upgrade evrsion of xp you dont need to have the previous version installed at all. Start the install and it will prompt you and tell you that it cant find your previous install. Just place the win 98 disk in the cd drive and it will allow you to continue.

What the sgt. said. Do a clean install. Boot with the XP disk, remove all partitions, set up XP in the unallocated space, it will walk you through creating a new partition and formatting it, and have the 98 CD ready when it asks for it.
