OS Buyer Beware?

I am about to purchase WinXP Pro (full version) and I see it priced from $299 at Best Buy to $154.99 for what is called "Microsoft Windows XP Pro Full OEM" on the internet. Are these the same? Are there any "catches" of which I should be aware.

The OEM version doesn't come with any fancy packaging or manuals and you get no free tech support from M$ for it. Otherwise, it is the same OS. There is no reason to pay full price for the retail version.
