About WinXP Installation

When we install winxp from winxp cd, it asks us in which partition(drive) we want to install the windows by giving the list of partitions(drives) available in our HDD.

I have seen the file systems(NTFS and FAT)written in the list of partitions given by winxp cd like:

D: Partition with NTFS
D: partition with FAT
C: Partition with NTFS
C: Partition with FAT


Does this refer to the already available file systems in our HDD? For example, if my C: has FAT partition and I want to install winxp in C:, then do I have to accept "C: partition with FAT" and cannot accept "C: partition with NTFS"?

After accepting the partition(drive) for installation , then it asks us whether we want to format the drive with FAT or NTFS, so would their be any problem if we choose "format with NTFS" if the drive has "FAT" partition?

I hope my queiry is clear.
