OEM vs Upgrade XP

Since the price of XP OEM and Upgrade XP are close in price I was wondering which to buy.I have two older windows 98 which run good each one has 256 of ram. I know once you install OEM it's locked into that particular computer. Does the same go for the upgrade XP. I know you can only have it in one computer but I want to know if one of the windows 98 computers went down if I could legally use the upgrade on the second win 98 computer or is locked into the computer like the OEM. thanks.

You can only Activate XP on one pc, regardless of whether it's retail, oem or upgrade. I'd recommend the OEM version w/SP2. It's easier to work with in the event of a repair install later on.

You are allowed to transfer the upgrade - it's considered retail.
