OEM vs. Retail

Does anyone know the advantages of purchasing a retail vs. an OEM version of Windows XP Professional? On Newegg I can purchase a Retail for $279.99 vs. an OEM for $139.99. That is a big difference. What I am trying to acertain is if the retail version is worth it.
