OEM is intended for system builders only - but a loophole in the licensing means that online vendors like Newegg can sell OEM copies without the need to purchase any hardware.
The only real features that OEM XP lacks over Retail, are the packaging and the MS technical support. Because of this - OEM certainly represents a MUCH better deal. Things have changed a little with Vista licensing, though. OEM Vista, unlike XP, cannot be transferred to a completely new system.
