Win2K Will Not See My Drive

This is one of two Maxtor 45GB HHD that I have in my system. The other is the system drive. This drive has be formatted. I get the "yellow mark" next to the drive in the Hardward manager, and the properties window states, "This device cannot work properly until you restart your computer (Code 14" - as you know by now that restarting the computer does not solve the problem.
I am all ears - Thanks Henry
