Just drawing flies here... I have W2K, and when i open the task manager and look at the CPU performance, it peaks out at 100% for a fraction of a second and then drops back to normal. This happens every time i re-open the task manager. Just curious why this is happening..?

Because the CPU runs at 100% to open the task manager, then drops off as soon as it's completely open and all tasks are listed.
Normal.

Yep, it is perfectly normal. If you want a little app that can constantly tell you about system info, check out Coolmon. It is handy when you want to see which program is utilizing your CPU the most.
