Any boot disk will work, or make one in XP by putting in a disk, open Explorer, right click the A drive, select "Format", and put a tick mark in to make it a bootdisk.
You only use this bootdisk to hold the BIOS flash program, and the actual flash file. It can't be used to boot the computer for much else.

Reboots suggestion is good becuase the WinXP boot disk just puts the minimal on it... leaving you enough room the put the exe on it...

this is good if your using ntfs

Make sure to read the instructions for flashing the bios very carefully before you begin. Follow the directions to the letter.

I had made a boot disk while using ME, a while back. But I used Ghost, anlong with the boot disk so that I could just put the disk in and it wiuld set it up to a good configuration with all my stuff there. It was a little work, and I am not so sure about XP.
If u want additional info write me.
