Unable to load drivers error installing NT Apm/Legacy support in 2k standard pc mode

I installed the NT Apm/Legacy support for a 2k box running in APM (standard pc) mode (because of incompatabilities between the Ali V chipset and ACPI) to gain the shutdown feature of ACPI, but I get this error (code 31) afterwards. I tried to reinstall the drivers, but the message is still there. I tried the M$ KB, but this code 31 listed under Device Manager error code is slightly different and doesn't seem to apply since these are M$ drivers.
I looked through 'services' but couldn't find something that is either stopped or disabled to would affect this.

Any ideas?

Have you followed all of these steps?

After you verify that the Microsoft ACPI Device is disabled, continue with the following steps to install the NT APM/Legacy device:
Open Control Panel, and then double-click Add Hardware.
When the Hardware Wizard completes searching for new hardware, click Yes, I have already connected the hardware, and then click Next.
Scroll to the bottom of the Installed Hardware list, click Add a new hardware device, and then click Next.
Click Install the hardware that I manually select from a list (Advanced), and then click Next.
Under Common Hardware Types, click NT Apm/Legacy Support, and then click Next.
Click NT Apm/Legacy Interface Node, and then click Next.
Click Next again, and then click Finish.

I went from ACPI tp APM doing a repair within 2k setup.
APM (standard pc) shows in Device Manager.
The drivers are installed, they just can't load!
