Will Windows XP Home Edtion run on an HP pavilion Laptop N3310 AMD K6-2P 500 MHZ Processor with 256 SDR RAM ? It came with an OEM ver of Windows 98 SE in Aug of 2000.

Yes it will, remember it is a much larger program than 98 so make sure that you have at least 1.25 gigs on the hard drive.
