No. It will just run extremely slow.

A friend of mine installed WinXP on his K6-2 550 with 64 MB of RAM, and it is very very slow. Now I'm gonna upgrade the RAM on his PC, because he wants WinXP.

MS says 64 is the minimum with XP (although 128 is recommeded). I think you'll see most folks recommending 512Mb memory with XP as offering the best performance. Like RJ says, it will run with 64 - more like limp than run!

windows 98 se?

if though what I think you are asking is if there is an XP that will run better on lower ram. The true answer is no, but you can turn off the pretty stuff and make the screens look like win 98, but at the core the same huge program is still there and 64 megs is just not going to be enough, I'd either upgrade the ram to as clsoe to 512 MB you can given money and system limits or not go the xp upgrade.
